Change Address of Company - Overview
The official location that a business lists with the Registrar of Companies (ROC) is known as its registered office, and it is where official communication is received. Important corporate documents like the MOA and AOA legally need it. A business may occasionally need to relocate owing to expansion, a better location, or cost control. The Companies Act 2013 provides specific guidelines for this procedure. Depending on whether the transfer is to a new state, another city, or within the same city, it may entail certain formalities such as filing with the ROC, board meetings, and shareholder approvals.
Four Major Scenarios: Change in the Company's Registered Office
Depending on the demands of the business and its strategic choices, the corporate address change may take place inside the same city, across cities, or even in a different state or area. The procedure and legal criteria for a corporation to relocate its registered office might differ greatly depending on the type of move. The following four typical situations, each requiring a different set of formalities, might be used to modify a company's registered office:

List of Required Documents for Change Address of Company
For updating the Company's Registered Address, please provide one of the following documents:
- New Address of Company for The Registered Address
- Title document if the new address is owned by the company.
- Rent Agreement and Rent Receipt for the new address.
- Utility Bill of the premises and a No Objection Certificate (NOC) from the owner of the new address.
- Copy of the Board Resolutions for filing with ROC.
- Certification by professionals (Chartered Accountant/Company Secretary/Cost & Management Accountant).
- Filing of Form INC-22 along with MCA Government Fee.
Process of the change Registered Office Address
- New Address To Be Identified: In compliance with local land rules, the procedure begins with determining a new address for the company's registered address.
- Sign the lease or rent agreement with the landlord: The company should not move into the new location until all necessary paperwork, such a rent agreement or sale transaction, has been completed.
- Obtain NOC from landlord: A NOC from the property owner is needed if the new address is not already owned at that point.
- Board Meeting To Pass Resolutions: A board resolution for changing the registered address was adopted by the board of directors at a duly called meeting with a simple majority.
- Intimate ROC By Filing INC-22: By submitting Form INC-22, the change of the registration address must be communicated within 30 days after the effective date of the change.
- Change In All Stationary & Sign Board: Following a change in the registered address, the business must update all of its marketing collateral and billboards.
